Terms of Use

These Terms of Use govern your access to and use of the Marii Business Operating System — a platform that includes online storefronts, payment processing, invoicing, inventory management, AI-powered tools, bank reconciliation, customer file management, CRM, and related services (collectively, the "Service"). Please read them carefully before using Marii.

1. Acceptance of Terms

By accessing or using any part of the Marii platform, you agree to be bound by these Terms of Use. If you are using Marii on behalf of a business, you represent that you have the authority to bind that business to these terms. If you do not agree, you may not use our Service.

2. Description of Service

Marii is a cloud-based Business Operating System built for Zimbabwean businesses. The Service includes, but is not limited to:

  • Online Store: Creation and management of a live e-commerce storefront, product listings, and order fulfilment.
  • Payment Processing: Acceptance of card, EcoCash, and bank transfer payments, with settlement directly to your connected bank account via third-party payment gateways.
  • Invoicing & Fiscalisation: Multi-currency (USD, ZWG, ZAR) invoice generation and, where enabled, transmission of fiscal data to the Zimbabwe Revenue Authority (ZIMRA) Fiscal Device Management System (FDMS) using credentials you provide and own. See Section 7 for detailed fiscalisation terms.
  • Inventory Management: Real-time stock tracking across one or more branch locations.
  • AI-Powered Tools: AI Marketing Studio for social media creatives, AI bank statement reconciliation, and AI receipt scanning.
  • Customer Relationship Management (CRM): Storage and management of client data, order history, and outstanding balances.
  • Customer Files: Upload, storage, and chronological management of files and documents associated with individual customers — including notes, records, and attachments relevant to your business relationship with that customer.
  • Reporting: Generation of QPD tax reports, VAT 7 returns, and financial summaries.

Features available to you depend on your subscription plan. Marii reserves the right to modify, add, or discontinue any feature with reasonable notice.

3. Account Registration & Security

To use the Service, you must register for an account. You are responsible for:

  • Providing accurate, current, and complete business information during registration and keeping it updated.
  • Maintaining the security and confidentiality of your login credentials.
  • Safeguarding your ZIMRA Activation Keys, Device IDs, and any connected payment gateway credentials.
  • All activities that occur under your account, including actions taken by employees or agents you grant access to.

Marii will not be liable for any loss or damage arising from your failure to protect your account information. You must notify us immediately at contact@maniverse.app if you suspect any unauthorised access to your account.

4. Online Store & E-Commerce Obligations

If you use Marii to operate an online store, you agree that:

  • You are solely responsible for the accuracy of all product descriptions, pricing, images, and availability displayed on your storefront.
  • You will fulfil all orders placed by customers through your store promptly and accurately.
  • You will not list prohibited, counterfeit, or illegal goods or services on your Marii storefront.
  • You are responsible for handling all customer disputes, returns, and refund requests arising from your store's transactions. Marii is not a party to any transaction between you and your customers.
  • You will comply with all applicable Zimbabwean consumer protection laws in the conduct of your online store.

5. Payment Processing

Important — Marii is not a payment processor.

Payment processing (card, EcoCash, bank transfer) is facilitated through independent third-party payment gateway providers. Settlement of funds into your bank account is governed by your separate agreement with your chosen gateway, not by these Terms.

You acknowledge and agree that:

  • Marii is not responsible for failed, delayed, or disputed payment settlements. All such issues must be resolved directly with your payment gateway provider.
  • You are responsible for ensuring your gateway integration is correctly configured within the Marii platform.
  • Marii shall not be held liable for any financial loss arising from gateway outages, chargeback decisions, or fraud committed by your customers.
  • You are responsible for complying with all applicable anti-money laundering (AML) and know-your-customer (KYC) obligations required by your payment gateway and Zimbabwean law.

6. AI-Powered Features

Marii offers several features powered by artificial intelligence, including the AI Marketing Studio, AI bank statement reconciliation, and AI receipt scanning. By using these features, you acknowledge that:

  • AI outputs are not guaranteed to be accurate. Bank reconciliation results, receipt interpretations, and marketing creatives generated by AI must be reviewed and verified by you before being relied upon for financial, tax, or business decisions.
  • Marii shall not be liable for any financial loss, tax penalties, or business harm resulting from errors in AI-generated outputs that you acted upon without verification.
  • AI-generated marketing content is provided as a creative starting point. You are solely responsible for ensuring that any content you publish complies with applicable advertising standards, intellectual property laws, and platform rules.
  • Content you submit to AI features (product images, bank statements, receipts) may be processed by third-party AI model providers under confidentiality obligations. We do not use your financial data to train AI models.

7. Fiscalisation — Role of Marii

Critical Notice — Please Read Carefully:

Marii acts solely as a software conduit for the transmission of fiscal data to ZIMRA. Marii is not a tax agent, tax advisor, or fiscalisation service provider. Marii does not hold itself out as providing tax compliance services of any kind.

7.1 — Your ZIMRA Relationship Is Yours

You are the registered ZIMRA taxpayer. You obtain your own Device ID, Activation Key, and X.509 Certificates directly from ZIMRA through your own application process and relationship. Marii provides the software interface through which fiscal data is transmitted using credentials that you own, control, and are solely responsible for.

7.2 — You Own the Data and the Obligation

Every figure submitted to ZIMRA through Marii — including invoice amounts, line item quantities, VAT calculations, tax rates, currency values, HS codes, and buyer TINs — originates from data that you enter into the system. Marii performs calculations based on your inputs, but you are solely and ultimately responsible for verifying the accuracy and completeness of all data before it is submitted. By initiating the fiscalisation of any invoice, you confirm that the data contained in that invoice is accurate and complete.

7.3 — No Guarantee of ZIMRA Acceptance

Marii does not guarantee that any fiscal submission will be accepted by ZIMRA. ZIMRA may reject, query, or flag submissions for reasons including but not limited to: incorrect tax rates, invalid buyer TINs, device certificate expiry, ZIMRA system unavailability, or changes to ZIMRA's FDMS specifications. You are responsible for monitoring the status of your fiscal submissions and resolving any issues directly with ZIMRA.

7.4 — ZIMRA API Availability

Marii will make reasonable efforts to transmit fiscal data reliably, including retry mechanisms and offline queuing during temporary ZIMRA API outages. However, Marii does not guarantee uninterrupted transmission and shall not be liable for delays or failures caused by ZIMRA system downtime, network issues outside Marii's control, or changes to ZIMRA's API that occur without adequate notice. Marii will notify you of persistent transmission failures through the platform, but the obligation to ensure your fiscal records are up to date with ZIMRA remains yours.

7.5 — Device Credential Management

Marii securely stores your ZIMRA Device Private Keys using AES-256 GCM encryption at rest. However, the lifecycle management of your ZIMRA device — including initial registration, certificate renewal, and decommissioning — is your responsibility. Marii may provide reminders or tooling to assist with certificate renewal, but failure to renew your device credentials in time is not Marii's liability.

7.6 — Indemnification

You agree to indemnify and hold harmless Marii (operated by Zeevio Private Limited), its officers, employees, and agents from and against any claims, fines, penalties, losses, or damages (including legal fees) arising from or related to: (a) inaccurate, incomplete, or fraudulent data you submitted through the platform; (b) your failure to verify fiscal data before submission; (c) ZIMRA audits, penalties, or disputes relating to your tax filings; or (d) your failure to maintain valid ZIMRA device credentials.

8. General Tax & Legal Disclaimer

Important Notice:

Beyond the specific fiscalisation terms in Section 7, Marii does not provide accounting, tax, or legal advice of any kind. The platform generates reports (QPD, VAT 7, financial summaries) based on data you enter. These reports are tools to assist you — they do not constitute professional advice and should be reviewed by a qualified accountant or tax professional before being submitted to any authority.

Marii shall not be held liable for any fines, penalties, interest, or audit consequences imposed by ZIMRA or any other authority resulting from your use of the Service, including but not limited to errors in data entry, incorrect VAT rate selection, or reliance on unverified AI-generated outputs.

9. Customer Files

Marii allows you to upload and store files, documents, notes, and attachments against individual customer records ("Customer Files"). By using this feature, you acknowledge and agree that:

  • You are solely responsible for the content you upload. You must ensure that all Customer Files comply with applicable laws, including data protection and confidentiality obligations you owe to your customers.
  • You must have lawful authority to store the data. Where Customer Files contain personal information about your customers (e.g., medical records, identity documents, financial records), you are responsible for obtaining any required consent and complying with the Zimbabwe Cyber and Data Protection Act.
  • Marii stores Customer Files securely using encryption in transit and at rest but does not review, audit, or validate the content of uploaded files.
  • You must not upload files containing malware, illegal content, or material that infringes the intellectual property rights of any third party.
  • Customer Files are retained for as long as your account is active and subject to the same data retention terms in Section 11. Upon account termination, you may request an export of your Customer Files within 90 days before they are permanently deleted.
  • Marii may impose reasonable file size and storage limits per plan tier. If you exceed your storage allocation, you will be notified and may need to upgrade or remove files.

10. Subscription Plans & Billing

Marii offers a permanently free plan and paid subscription tiers. The following applies to all plans:

  • Paid plans are billed annually or monthly as selected at checkout. All fees are in USD unless otherwise stated.
  • Subscription fees are non-refundable except where required by applicable law.
  • If you downgrade your plan, features exceeding your new plan's limits (e.g., branch locations, AI credits, Customer File storage) will be restricted but your data will be retained for 90 days.
  • Marii reserves the right to modify pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • Failure to pay subscription fees may result in suspension or downgrade of your account to the free plan.

11. Data Retention & Export

Your financial and business records are important. Marii retains your data for a minimum of 6 years from the date of the relevant transaction, in line with ZIMRA's statutory record-keeping requirements, even after account cancellation.

Customer Files, invoices, customer records, and transaction data may be exported at any time via the dashboard or by contacting support. Data exports will be provided within 14 business days of a valid request.

12. Acceptable Use

You agree not to use the Service to:

  • Generate fraudulent, falsified, or misleading fiscal receipts or invoices.
  • Submit knowingly inaccurate data for fiscalisation to ZIMRA.
  • List, sell, or promote illegal, counterfeit, or prohibited goods or services through your storefront.
  • Upload Customer Files containing malware, illegal content, or material that violates any person's rights.
  • Interfere with or disrupt the integrity or performance of the Service or the ZIMRA FDMS Gateway.
  • Attempt to gain unauthorised access to the Service, other users' data, or related networks.
  • Use AI features to generate defamatory, misleading, or unlawful marketing content.
  • Resell or white-label the Marii platform or its features without express written permission from Marii.

13. Intellectual Property

All intellectual property in the Marii platform — including software, design, AI models, and branding — remains the exclusive property of Marii (operated by Zeevio). Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

You retain ownership of all content you create and upload to Marii, including product listings, invoices, Customer Files, and customer data. By using the Service, you grant Marii a limited licence to process, store, and transmit that content solely to provide the Service to you.

14. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms of Use or if we are instructed to do so by a regulatory authority (e.g., ZIMRA). Upon termination, your storefront will be taken offline, payment processing will cease, and fiscalisation services will stop immediately. Your data will be retained in accordance with Section 11.

You may cancel your account at any time from the dashboard. Cancellation will take effect at the end of your current billing period. You may request a data export within 90 days of cancellation.

15. Limitation of Liability

To the maximum extent permitted by Zimbabwean law, Marii's total aggregate liability to you for any claim arising out of or related to these Terms or your use of the Service shall not exceed the total fees paid by you to Marii in the 12 months preceding the claim. Marii shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption.

Without limiting the above, Marii expressly disclaims liability for: (a) any ZIMRA fines, penalties, or audit consequences arising from data you entered or approved for submission; (b) errors in AI-generated outputs you acted upon without verification; (c) payment gateway failures, settlement delays, or chargebacks; and (d) loss or corruption of Customer Files due to circumstances beyond Marii's reasonable control.

16. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.

17. Changes to These Terms

Marii reserves the right to update these Terms of Use at any time. We will notify you of material changes via email or a prominent in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised terms.
